Liquor License Agreements. Simultaneously with the execution and delivery of this Agreement, Seller and Purchaser shall enter into a Liquor License Transfer Agreement (in the form and substance of Exhibit D-1) for the transfer of the liquor licenses pertaining to the Leased Real Property (other than the Clearance Location Liquor License) and the alcoholic beverage inventory located at the Remaining Retail Stores and a Liquor License Purchase Agreement (in the form and substance of Exhibit D-2) for the purchase of the Clearance Location Liquor License (collectively, the "Liquor License Agreements"). Upon the execution of the Liquor License Agreements, Purchaser shall promptly make applications to the applicable governmental authorities to transfer such liquor licenses from Seller to Purchaser. Said applications shall be diligently pursued by Purchaser, at Purchaser's expense. Seller shall cooperate with Purchaser and provide any documents and/or information reasonably necessary to assist in effectuating said transfers and execute such consents or other papers as may reasonably be required, at Seller's expense. The transfer of the liquor licenses and the alcoholic beverage inventory at the Premises shall proceed and be governed according to the provisions of the Liquor License Agreements and the rules and regulations of the Michigan Liquor Control Commission. Should the transaction anticipated by and described in this Agreement not proceed to Closing, then the Liquor License Agreements shall automatically be deemed null and void and of no further force or effect and Purchaser shall take all appropriate steps reasonably required by Seller to terminate all liquor license transfer applications. -36-
